Tessellate Ambassador Program Terms

These Tessellate Ambassador Program Terms apply to the Tessellate Resident Ambassador Program operated by Forum AI, Inc. d/b/a Tessellate. By applying to, joining, or participating in the program, you agree to these terms, Tessellate's general Terms of Service, and Tessellate's Privacy Policy.

These terms are designed to keep the program simple: help physicians discover Tessellate, track your own referrals, and get rewarded when eligible referrals sign up, verify themselves, and complete their Essentials.

1. Program Overview

The Tessellate Ambassador Program allows approved resident physicians to share Tessellate with other eligible physicians.

Ambassadors may earn rewards when an eligible referred physician signs up for Tessellate, completes Tessellate's verification step, and completes the required Essentials in their Tessellate profile.

There are no quotas. Ambassadors are not required to cold outreach, spam, sell, or pressure anyone to use Tessellate.

Participation is by application and approval only. Tessellate may approve, reject, suspend, or remove ambassadors at its discretion.

2. Ambassador Eligibility

To participate as an ambassador, you must:

  • be an individual, not an organization, society, residency program, institution, or group;
  • be an active physician resident in a U.S. residency program, or an incoming physician resident entering a U.S. residency program and approved by Tessellate;
  • be legally able to participate in the program and receive any applicable rewards;
  • comply with your residency program, institution, employer, visa, tax, and professional obligations;
  • comply with these terms and any instructions Tessellate provides for the program.

You are responsible for understanding and following any restrictions that apply to you, including institutional policies on outside activities, compensation, moonlighting, vendor relationships, conflicts of interest, and use of institutional resources.

If your program, institution, employer, visa status, or other obligation requires approval before you participate, you are responsible for obtaining that approval before participating.

Tessellate may exclude or remove anyone if Tessellate believes participation creates a compliance, conflict-of-interest, reputational, legal, or operational risk.

3. Eligible Referred Users

A referred user is eligible only if they are:

  • a U.S.-based physician resident, fellow, or practicing physician;
  • new to Tessellate;
  • not an existing Tessellate user;
  • not a prior Tessellate sign-up;
  • not already on Tessellate's waitlist or otherwise already known to Tessellate as a prior sign-up;
  • not the ambassador themselves.

Medical students, APPs, pharmacists, dentists, psychologists, non-physician clinicians, and non-U.S. physicians are not eligible for ambassador referral rewards unless Tessellate says otherwise in writing.

Ambassadors may refer physicians from any U.S. program, institution, city, state, specialty, or practice setting.

4. What Counts as a Qualifying Referral

A referral becomes a Qualifying Referral only when all of the following are true:

  • the referred user is an Eligible Referred User;
  • the referred user creates a Tessellate account or completes Tessellate's applicable sign-up flow;
  • the referred user completes Tessellate's verification step;
  • the referred user completes the required "Essentials" in the profile section;
  • the ambassador submits the referral to Tessellate using an approved email address or form;
  • Tessellate determines the referral is valid, non-duplicate, and eligible.

"Essentials" means the minimum required profile preferences Tessellate uses to create curated matches. These may include location preferences, practice setting preferences, and the reason for the user's potential change.

Once a referred user completes the required Essentials, that requirement is satisfied even if Tessellate changes, expands, renames, or updates its profile fields later.

No reward is earned for incomplete sign-ups, duplicate accounts, fake accounts, existing users, prior sign-ups, waitlist users, self-referrals, ineligible users, or referrals Tessellate cannot validate.

5. Referral Submission and Attribution

Tessellate does not use unique referral links for this program. Ambassadors are responsible for tracking their own referrals and submitting them to Tessellate.

To submit a referral, the ambassador must provide:

  • the referred user's full name;
  • the referred user's email address;
  • the referred user's residency institution, fellowship institution, or current practice/institution, as applicable.

Tessellate may reject any referral submission that is incomplete, inaccurate, ambiguous, duplicative, late, or not reasonably matchable to a Tessellate sign-up.

Referral submissions must be made within 60 days after the referred user signs up for Tessellate. A referral submitted more than 60 days after sign-up is not eligible for reward unless Tessellate approves it in writing.

Because referrals are manually submitted, no credit is created automatically. If an ambassador does not submit a referral, Tessellate has no obligation to award credit.

If multiple ambassadors submit the same referred user, the first valid submission received by Tessellate will receive credit, subject to Tessellate's final determination. Tessellate's decisions on referral attribution, eligibility, validation, and payment are final.

6. Rewards and Payouts

Ambassadors may earn rewards for Qualifying Referrals according to the following tier structure:

The tier rate applies based on the ambassador's cumulative number of Qualifying Referrals validated by Tessellate.

The maximum ambassador payout is $10,000 unless Tessellate approves otherwise in writing. After an ambassador reaches the payout cap, additional referrals may not generate additional cash rewards.

Payouts are processed monthly through Stripe or another payment method selected by Tessellate. Tessellate may delay, withhold, cancel, offset, or claw back rewards if it determines that a referral was invalid, fraudulent, duplicative, ineligible, submitted in violation of these terms, or paid in error.

Ambassadors must remain in good standing to receive rewards. Rewards are not transferable and may not be sold, assigned, split, or shared with referred users.

Ambassadors are responsible for any taxes related to rewards. Tessellate may require ambassadors to provide payment, identity, or tax information before payout. If an ambassador does not provide required information within 90 days after Tessellate requests it, Tessellate may withhold, cancel, or treat the unpaid reward as abandoned.

7. Milestone Perks

Tessellate may offer non-cash milestone perks separate from payout tiers.

At 10 Qualifying Referrals, ambassadors may be eligible for:

  • Founding Resident Ambassador designation;
  • early access to selected Tessellate tools, bootcamps, or new features;
  • optional blog, social, or community spotlight, subject to separate consent.

At 50 Qualifying Referrals, ambassadors may be eligible for:

  • invitation to a Resident Advisory Council or similar select group;
  • quarterly founder or team roundtables;
  • access to selected premium platform features.

Milestone perks are discretionary, non-transferable, and may be changed, replaced, limited, or discontinued by Tessellate at any time. Public recognition, use of an ambassador's name, photo, institution, or testimonial will require separate consent.

8. Ambassador Conduct

Ambassadors may:

  • tell friends, co-residents, fellows, and other physicians about Tessellate;
  • share Tessellate-approved language, videos, or materials;
  • discuss their genuine experience with Tessellate;
  • share Tessellate in residency group chats, text threads, or other communities where sharing is permitted;
  • host informal conversations or events, provided they do not request Tessellate funding unless Tessellate approves it in advance;
  • provide product feedback to Tessellate.

Ambassadors may not:

  • misrepresent Tessellate, the program, or their relationship with Tessellate;
  • claim to be a Tessellate employee, recruiter, agent, broker, or official representative;
  • speak on behalf of Tessellate without permission;
  • make promises about jobs, interviews, offers, compensation, contracts, placement, matches, or career outcomes;
  • make clinical, legal, tax, financial, immigration, or employment advice claims on behalf of Tessellate;
  • spam, harass, pressure, mislead, or coerce anyone;
  • create fake accounts, duplicate accounts, or false referral submissions;
  • submit self-referrals;
  • split or share referral rewards with referred users;
  • use patient information, protected health information, patient stories, patient screenshots, or clinical case details;
  • use institutional logos, hospital branding, residency branding, email lists, facilities, private directories, group chats, or other institutional resources without permission;
  • imply that a residency program, hospital, health system, employer, or institution endorses Tessellate unless authorized;
  • violate any law, institutional policy, professional obligation, or platform rule;
  • damage Tessellate's reputation or the trust of physicians using Tessellate.

9. Messaging, Public Posts, and Disclosure

Ambassadors may use their own words when talking privately with friends and peers, as long as they are truthful, accurate, and not misleading.

For public posts, social media posts, broad group posts, event materials, or other public-facing promotion, ambassadors must use Tessellate-approved language or obtain Tessellate approval before sharing non-approved claims or materials.

Ambassadors may not materially edit Tessellate-approved public-facing materials without Tessellate's approval.

Ambassadors must disclose their relationship with Tessellate when required by law or when a reasonable person would want to know that the ambassador may be compensated.

Approved disclosure examples include:

  • "I'm a Tessellate Resident Ambassador and may be compensated if eligible physicians sign up and complete their Essentials."
  • "I'm part of Tessellate's ambassador program, so I may receive referral credit if eligible physicians sign up."
  • "Tessellate ambassador disclosure: I may be compensated for eligible referrals."

The disclosure should be clear, easy to understand, and placed close to the recommendation. It should not be hidden in a profile bio, buried in a long thread, or replaced only by tagging Tessellate.

10. Events, Funding, and Reimbursement

Ambassadors may host informal events, conversations, or meetups at their own expense, provided they comply with these terms and applicable institutional rules.

Any Tessellate-funded event, reimbursement, sponsorship, food, swag, prize, giveaway, or other support must be approved by Tessellate in advance.

Tessellate has no obligation to reimburse ambassadors for expenses unless Tessellate approved the expense in writing before it was incurred.

11. Privacy and Referral Information

Ambassadors may submit only the referral information Tessellate requests.

Ambassadors may not submit patient information, protected health information, private institutional data, scraped lists, confidential directories, screenshots of private systems, or information obtained unlawfully or in violation of an applicable policy.

Tessellate may use referral information to operate the ambassador program, validate referrals, contact users, administer payments, prevent fraud, improve Tessellate, and as otherwise described in Tessellate's Privacy Policy.

Referred users may opt out of Tessellate communications or request deletion of their personal information as described in Tessellate's Privacy Policy.

Ambassadors who keep their own referral tracking lists are responsible for doing so safely and lawfully.

12. Healthcare-Specific Guardrails

Ambassador rewards are paid only for eligible physician sign-ups that meet the requirements of these terms.

Rewards are not paid for, and ambassadors may not solicit or accept rewards for:

  • patient referrals;
  • clinical referrals;
  • referrals for federally reimbursable health care items or services;
  • institutional purchasing decisions;
  • vendor selection decisions;
  • hospital, health system, employer, or practice group business;
  • prescribing, ordering, leasing, recommending, or arranging any clinical item or service;
  • any action that would violate applicable fraud, abuse, anti-kickback, self-referral, conflict-of-interest, or professional conduct rules.

Ambassadors may not use their clinical role, institutional role, or professional authority to pressure anyone to use Tessellate.

13. Relationship Between Tessellate and Ambassadors

Participation in the ambassador program does not create an employment, agency, partnership, joint venture, franchise, fiduciary, broker, recruiter, or representative relationship between Tessellate and the ambassador.

Ambassadors are program participants receiving potential rewards. They are not employees of Tessellate and are not entitled to salary, benefits, insurance, workers' compensation, unemployment benefits, expense reimbursement, or authority to bind Tessellate.

Ambassadors may use the title "Tessellate Resident Ambassador" only while they are active and in good standing in the program.

Ambassadors may not use titles such as "Tessellate Recruiter," "Tessellate Representative," "Tessellate Employee," or "Tessellate Agent."

14. Content, Feedback, and Testimonials

Ambassadors may provide feedback, comments, testimonials, ideas, videos, posts, messages, or other content to Tessellate.

By providing content or feedback, ambassadors grant Tessellate a non-exclusive, worldwide, royalty-free license to use, reproduce, edit, display, publish, distribute, and create derivative works from that content for program, product, marketing, and business purposes.

Tessellate will not publicly use an ambassador's name, photo, institution, or individually identifiable testimonial without separate consent where required.

Ambassadors may revoke publicity consent by written notice. Revocation applies prospectively and does not require Tessellate to remove materials already printed, published, distributed, or reasonably in production before Tessellate received the revocation.

15. Program Changes, Suspension, and Termination

Tessellate may change, suspend, or terminate the ambassador program, these terms, eligibility rules, reward amounts, payout methods, milestone perks, or program requirements at any time.

Changes will apply prospectively unless Tessellate states otherwise or unless the change is required for legal, tax, fraud-prevention, compliance, or safety reasons.

Tessellate may suspend or remove an ambassador at any time, including for:

  • fraud or suspected fraud;
  • fake, duplicate, misleading, or ineligible referrals;
  • failure to disclose the ambassador relationship when required;
  • violation of institutional policies;
  • misuse of Tessellate materials or brand;
  • sharing patient information or protected health information;
  • harassment, discrimination, spam, or coercive conduct;
  • false or misleading claims;
  • reputational harm;
  • breach of these terms.

Ambassadors may stop participating at any time.

Upon termination, ambassadors must stop using Tessellate ambassador materials, stop representing themselves as a Tessellate Resident Ambassador, and stop submitting referrals unless Tessellate says otherwise.

Valid earned but unpaid rewards may remain payable unless the ambassador was removed or terminated for breach, fraud, suspected fraud, policy violation, or other misconduct. Pending, unvalidated, incomplete, or late referrals may be canceled upon termination.

16. No Guarantees

Tessellate does not guarantee that ambassadors will earn any amount of money or receive any specific perks.

Tessellate does not guarantee that referred users will receive job matches, interviews, offers, compensation increases, contract terms, employment outcomes, or career results.

Tessellate may reject or disqualify any referral if Tessellate determines the referral does not meet program requirements.

17. Indemnification

Ambassadors agree to indemnify and hold harmless Tessellate, Forum AI, Inc., and their officers, directors, employees, contractors, and affiliates from claims, losses, damages, liabilities, costs, and expenses arising from the ambassador's participation in the program, violation of these terms, unlawful conduct, misuse of Tessellate materials, violation of institutional policies, false claims, privacy violations, or infringement of third-party rights.

18. Governing Law and Other Terms

These Program Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.

Tessellate's general Terms of Service apply to the ambassador program. Any dispute-resolution, arbitration, class-action waiver, limitation-of-liability, and other legal terms in Tessellate's general Terms of Service apply to these Program Terms unless Tessellate states otherwise.

If these Program Terms conflict with Tessellate's general Terms of Service, these Program Terms control only for the ambassador program.

19. Examples

Examples of Qualifying Referrals

A referral may qualify if:

  • an approved ambassador tells a resident friend about Tessellate;
  • the resident signs up for Tessellate;
  • the resident completes Tessellate's verification step;
  • the resident completes their Essentials;
  • the ambassador submits the resident's name, email, and institution within 60 days after sign-up;
  • Tessellate validates the referral.

A referral may also qualify if the referred user is an attending physician in the U.S., is new to Tessellate, signs up, verifies, completes Essentials, and the ambassador submits the required information on time.

Examples of Non-Qualifying Referrals

A referral will not qualify if:

  • the referred user was already a Tessellate user;
  • the referred user was already on Tessellate's waitlist;
  • the referred user previously signed up;
  • the referred user is a medical student, APP, or non-physician clinician;
  • the referred user is outside the U.S.;
  • the ambassador submits the referral more than 60 days after sign-up;
  • the referred user signs up but never completes Essentials;
  • the ambassador submits a self-referral;
  • another ambassador already submitted the same referred user first;
  • Tessellate cannot match the submission to a valid Tessellate sign-up;
  • the referral was generated through spam, misrepresentation, fake accounts, or prohibited conduct.
